Welcome to Vayl. These Terms & Conditions ("Terms") govern your access to and use of the Vayl website, products, services, and any purchases made through our website.
By accessing our website or placing an order, you agree to be bound by these Terms.

Throughout these Terms, "Vayl," "we," "our," and "us" refer to Garon Photography & Cinema, LLC d/b/a Vayl.
2. Product Information
Vayl produces premium photography and videography backdrops made from genuine natural stone.
Due to the nature of real stone, no two backdrops are identical. Product images are representative examples and are intended to showcase the general appearance of a stone run. The exact backdrop you receive will vary naturally from the images shown on our website.
Certain products may be stocked inventory, while others may be manufactured or cut to order.
We reserve the right to update product specifications, dimensions, availability, and pricing at any time.
3. Natural Stone Variation Acknowledgement
By purchasing a Vayl product, you acknowledge and accept that natural stone is inherently unique.
Variations in color, veining, texture, mineral composition, movement, pattern, surface characteristics, edge appearance, and thickness are normal and expected. These variations may occur between individual backdrops, within the same stone run, and even within the same order.
Lighting conditions, camera settings, editing techniques, monitor calibration, and screen settings may cause product images to appear differently than the product received.
Differences between product photographs and the backdrop delivered are not considered defects and do not qualify for return, exchange, refund, or warranty service, provided the product received is from the stone run ordered.
Receiving a backdrop from the ordered stone run that differs in appearance from website photos does not constitute grounds for return.
4. Natural Stone Flaking and Surface Characteristics
Because Vayl products are made from genuine stone, small amounts of flaking, chipping, shaling, dusting, or stone shedding may occur during shipping, handling, storage, setup, and normal use.
These characteristics are inherent to natural stone and are not considered manufacturing defects.
Heavily textured stone varieties may naturally exhibit greater levels of flaking or shedding than smoother stone varieties.
5. Orders and Payment
All orders are subject to acceptance and availability.
We reserve the right to refuse, cancel, limit, or refund any order at our sole discretion, including but not limited to:
Pricing errors
Inventory discrepancies
Suspected fraud
Payment issues
Violations of these Terms
Payment in full is required before shipment unless otherwise agreed in writing.
6. Shipping and Delivery
Vayl currently ships only within the United States.
Shipping is included at no additional charge unless otherwise stated.
We generally process and ship orders twice monthly. Shipping schedules may vary due to holidays, supplier schedules, inventory availability, weather events, or other circumstances beyond our control.
Delivery dates are estimates and are not guaranteed.
Risk of loss remains with Vayl until delivery is completed.
7. Inspection Upon Delivery
Customers are responsible for inspecting products promptly upon delivery.
If a shipment arrives damaged, customers must notify Vayl within seven (7) days of delivery and provide:
Photos of the damaged product
Photos of packaging when available
Order information
Failure to report shipping damage within seven (7) days may result in denial of replacement claims.
8. Returns and Exchanges
Unused products may be returned within thirty (30) days of delivery, subject to the conditions below.
Customers are responsible for return shipping costs.
Returned products must:
Be unused
Be in original condition
Include original packaging when reasonably possible
Returns may be denied if products show signs of use, damage, modification, abuse, improper storage, or unauthorized alteration.
Products returned solely because they differ in appearance from website photographs are not eligible for return if they were supplied from the stone run ordered.
Products shipped from the wrong stone run or color family may qualify for replacement at Vayl's discretion.
9. Five-Year Limited Warranty
Vayl warrants to the original purchaser that its products will be free from manufacturing defects for a period of five (5) years from the date of delivery under normal intended use.
If a valid warranty claim is approved, Vayl may, at its sole discretion:
Repair the product
Replace the product
Issue store credit
Refund the original purchase price
The maximum liability under this warranty shall not exceed the original purchase price of the affected product.
10. Warranty Exclusions
This warranty does not cover:
Natural stone variation
Flaking, chipping, shaling, or shedding inherent to stone
Cosmetic differences
Color variation
Texture variation
Normal wear and tear
Damage caused by improper storage
Water damage
Heat damage
Fire damage
Abuse, misuse, neglect, or accidents
Commercial fabrication or alteration
Cutting, trimming, or modification of the product
Improper installation or mounting
Damage occurring after delivery that was not reported within the required inspection period
Minor flaking, chipping, shedding, and surface variation are expected characteristics of genuine stone and are not covered by warranty.
Significant delamination, separation of stone from its backing, or substantial structural failure under normal intended use may qualify as manufacturing defects.
11. Intended Use
Vayl products are intended for:
Photography
Videography
Food photography
Product photography
Portrait photography
Headshots
Content creation
Vayl products are not intended for:
Structural applications
Construction projects
Flooring
Countertops
Weight-bearing surfaces
Building materials
Permanent installations
Customers assume all responsibility for determining suitability for their intended use.
12. Care and Handling
All Vayl panels are pre-sealed with a matte protective sealer.
To protect your backdrop:
Do not submerge products in water.
Avoid prolonged exposure to excessive moisture.
Avoid placing hot cookware or hot items directly on the stone surface.
Store products in accordance with any care instructions provided.
Failure to follow care recommendations may void warranty coverage.
13. Intellectual Property
All content on the Vayl website, including but not limited to logos, branding, photographs, videos, product descriptions, graphics, and designs, is the property of Vayl and protected by applicable intellectual property laws.
Customers may use purchased backdrops in commercial photography, videography, content creation, client work, advertising, and print sales.
Customers may not reproduce, manufacture, reverse engineer, copy, distribute, or create competing products based on Vayl products without written permission.
14. Reviews and User-Generated Content
By submitting reviews, photographs, videos, testimonials, social media content, tags, or other materials to Vayl, you grant Vayl a perpetual, worldwide, royalty-free, transferable license to use, reproduce, publish, modify, display, distribute, and promote such content in any media.
You represent that you own or have permission to submit such content.
15. Promotions and Founder Program
Vayl may offer founder memberships, early access programs, promotional pricing, discount codes, and special offers.
Founder Program purchases are non-refundable.
Benefits, availability, and features may be modified, discontinued, or adjusted at Vayl's sole discretion.
Founder memberships are non-transferable and have no cash value.
16. Limitation of Liability
To the fullest extent permitted by law, Vayl shall not be liable for:
Lost profits
Lost business opportunities
Lost revenue
Lost production time
Missed deadlines
Client claims
Consequential damages
Incidental damages
Special damages
Indirect damages
In all circumstances, Vayl's total liability shall not exceed the purchase price of the product giving rise to the claim.
17. Indemnification
You agree to indemnify, defend, and hold harmless Vayl, its owners, employees, contractors, affiliates, and agents from any claims, damages, liabilities, losses, costs, or expenses arising from your use of Vayl products or violation of these Terms.
18. Arbitration Agreement
Any dispute arising from or relating to these Terms, the website, or any purchase from Vayl shall be resolved through binding arbitration.
Arbitration shall be conducted in Illinois under the applicable rules of the American Arbitration Association or a comparable arbitration provider selected by Vayl.
Each party shall bear its own costs and attorney fees unless otherwise awarded by the arbitrator.
19. Class Action Waiver
You agree that any dispute shall be brought solely on an individual basis.
You waive any right to participate in a class action lawsuit, class arbitration, representative action, or consolidated proceeding against Vayl.
20. Governing Law
These Terms shall be governed by and construed under the laws of the State of Illinois, without regard to conflict of law principles.
21. Force Majeure
Vayl shall not be liable for delays or failures resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, weather events, supplier delays, transportation interruptions, labor disputes, government actions, utility outages, pandemics, or acts of God.
22. Changes to These Terms
We reserve the right to modify these Terms at any time.
Changes become effective immediately upon posting to the website.
Continued use of the website or purchase of products after changes are posted constitutes acceptance of the revised Terms.
